MAGOTHY FORGE ImPROVeMENT ASSOCIATION
BY-LAWS
ARTICLE 1: Name
The Association shall be known as “Magothy Forge Improvement Association”
ARTICLE 2: Purpose
To promote the general welfare of the residents and property owners as shone on the plat known as Magothy Forge, Anne Arundel County ,Maryland and to assist in the regulation and control of the roads, beaches, landings, and other action that will protect, preserve or enhance the community known as Magothy Forge.
ARTICLE 3: Membership
Membership in the organization will be limited to property owners as shone on the plat of the community known as Magothy Forge. Any person or persons renting a home in the community of Magothy Forge may join the association with the following provisions: (a) renter member may not hold office or position on the Board of Governors. (b) Renter members are not eligible to rent a boat slip. (c) Renter members are eligible to use and enjoy all other facilities and privileges of owner members immediately except voting which must be preceded by one years active membership.
Article 4: Dues
Dues are paid with your property taxes in accordance with the Special Community Benefit District (SCBD)
Article 5: Meetings
Section 1:
There shall be a regular meeting of the association on the third Wednesday of each and every month. Notice of such meetings will be published at least seventy-two hours prior to the meeting.
Section 2:
Meetings shall be in accordance with the Robert’s Rules of Order and in the following sequence:
a.Call to order e. Report of special committee
b.Reading of the preceding minutes f. Report of standing committee
c.Report of treasurer g. Unfinished business
d.Correspondence h. New Business
Section 3:
All questions other than amendments to the by-laws shall be decided by a majority vote of the members present provided notification as to time and place of special meetings shall have been given to all members as provided in these by-laws. In the absence of 10 eligible voting members, the Board of Governors shall then be authorized to execute all duties necessary to keep the association going.
Section 4:
Special meeting of the association may be called at any time by the president or upon written notice of ten percent of the active membership of the association, stating the object of the meeting; providing, however, that no special meeting will be held until notice is given to all active members of the contemplated special meeting by regular U.S. prepaid mail setting fourth the purpose of such meeting and, providing further, that no business shall be transacted at such meeting other than business set fourth in the notice.
Section 5:
General association meetings shall be held at such place as designated by the President or Board of Governors.
ARTICLE 6: OFFICERS
Section 1:
The officers of the association shall be a President, a Vice President, a Secretary and a Treasurer. The term of each officer shall be one fiscal year beginning on the first of January and ending on the last day of December. Vacancies occurring during the year shall be filled by the appointment of a member of the Board of Governors. No officers shall receive any salaries from this association.
Section 2:
The President shall preside at all meetings of the association and of the Board of Governors and in his absence, his duties shall devolve upon the Vice President. He shall appoint all committees and the chairman, thereof subject to the approval of the Board of Governors unless otherwise noted by the association.
The Secretary shall keep a true record of the proceedings of all meetings of the association and the Board of Governors. He shall also keep a correct meeting list of the members and send out notices five days in advance of special meetings and attend to the correspondence of the association.
The Treasurer shall be the custodian of all monies, the same to be deposited in a responsible bank subject to the order of this association upon checks signed by the Treasurer and countersigned by the President or Vice President. The Treasurer shall
receive such bills as are approved for payment by the Board of Governors. The Treasurer shall be bonded for $100,000.
Article 7: Board of Governors
Section 1:
The Board of Governors shall consist of the elected officers and three additional members, elected at the annual meeting each year. The Board of Governors shall meet once each month at a time and place designed by the President.
Section 2
The Treasure can pay expenditures of less than $1,000.00 without approval by the Board of Governors
ARTICLE 10: Amendments
The by-laws of this association may be altered or amended by two-thirds of the association members present at a monthly meeting or special meeting providing that the proposed amendment shall have been published to the members of the association for at least thirty days prior to the meeting at which the proposed amendment is to be considered.
ARTICLE 11: Beach Regulations
1.Guest must be accompanied by a member
2.Boats: There will be no docking privileges for non-members
3.Cars should not be parked on the beach
4.All areas must be cleaned up after picnics and all garbage must be taken from beach area.
5.Gate must be locked before leaving premises
6.Children under 14 must be accompanied by an adult
7.No swimming
8.No dogs allowed on beach unless they are on a leash
ARTICLE 12: Boat Slip Regulations
1.Boat slips are to moor boats up to 30 feet and less than 10 feet wide
2.Renter must be a member of the association
3.Dues must be paid up and rental fee paid by April 1
4.Registration on the boat to be moored in slip must be presented to the Harbor Master upon rental
5.Only boats registered to an association member may be moored in the slip. A member shall not rent a slip under the pretext of owning a boat and then allowing another boat to be moored in its place
6.A slip is non-transferable. If a renter sells his boat or for some reason no longer requires his slip, the slip returns to the association for re-rental.
7.The Harbor Master shall maintain a log of boat slips, renter’s boat registration numbers, rental period, etc. so that an instantaneous condition is available throughout the year.
8.Full payment of ensuing calendar year shall be accomplished at the time of slip rental.
9.No refunds shall be made for relinquishment of a slip during the pre-paid calendar year
10.Any slips rentals accomplished during the calendar year shall not be pro-rated
11.Upon relinquishment of a boat slip, it is returned to the association for re-rental. New rental shall be determined by the Harbor Master from a waiting list
12.If disuse of a slip for a period greater than thirty days (during the month of May through September inclusive) is anticipated, written notification shall be forwarded to the Harbor Master. If not, the association reserves the right to declare the slip abandoned and repossess the slip
13.The Board of Governors is empowered to enforce and interpret by majority vote in the name of the association all regulations and reserved rights put fourth herein
14.All complaints or requests for variances shall be forwarded through the beach committee (Vice President, if committee is non-functioning) to the Board of Governors for ruling
15.The association reserves the right ( via the Board of Governors) to repossess or refuse rental of a boat slip for misuse of a slip, misrepresentation or eligibility or breaking of the rental regulations.
